Current Status
There is no claim form and no claim deadline. Eligible settlement class members are paid automatically if the Court approves the settlement. The dates that matter are procedural: objections, and any notice of intention to appear at the hearing, must be received by November 25, 2026, and the settlement hearing is scheduled for December 18, 2026 at 1:30 p.m. Eastern Time before Vice Chancellor J. Travis Laster in the Delaware Court of Chancery in Wilmington, in person or by Zoom at the Court’s discretion. No final approval has been granted and no payment date had been announced as of October 19, 2026.
What Changed Recently?
The parties signed the Stipulation and Agreement of Settlement on September 10, 2026, and on September 15, 2026 the Court entered a scheduling order directing notice to settlement class members and current stockholders and setting the December 18 hearing. The long-form notice is dated October 6, 2026, and Kroll Settlement Administration published the summary notice on October 19, 2026. The settlement resolves Ayers v. Brigham, C.A. No. 2024-0694-JTL, for $17 million in cash. According to the notice, the money will be paid by Atlas’s insurers and Atlas under the defendants’ insurance and indemnity rights.
The agreement followed a mediation on April 7, 2026 that ended without a deal. The mediator later recommended a $17 million settlement, both sides accepted it, and they signed a term sheet in July 2026. The defendants deny all allegations of wrongdoing and liability, and they settled without admitting any.
Who Qualifies?
The settlement class covers all record and beneficial holders of Atlas Energy Solutions Class A common stock (NYSE: AESI) as of October 2, 2023, the closing of the reorganization, whose shares of former Atlas Class A common stock were exchanged for shares of new Atlas Class A common stock, along with their successors and assigns. Excluded are the defendants; Atlas’s officers and directors; any parent, subsidiary, assign or controlling person of any of them; their immediate family members; and any entity in which any of them had a controlling interest on October 2, 2023.
A buyer whose purchase of Atlas Class A shares on or before October 2, 2023 had not settled by the closing is treated as the holder of those shares, and the seller is not. Current stockholders, meaning record or beneficial owners of Atlas Class A stock as of September 10, 2026, also receive notice and may object, but a current stockholder who did not hold Class A shares at the reorganization receives no payment.
Why There Is No Opt-Out
The settlement class is a non-opt-out class under Delaware Court of Chancery Rules 23(a), 23(b)(1) and 23(b)(2), so settlement class members cannot exclude themselves, and if the settlement is approved its release binds them. A settlement class member or current stockholder who disagrees can object to the settlement, the plan of allocation or the fee request instead. An objection must be filed with the Register in Chancery and served on counsel so that it is received by November 25, 2026, and it must include monthly brokerage statements or a broker’s statement showing the objector held Atlas shares. Anyone who wants to speak at the hearing must also file a notice of intention to appear by the same date.
How Much Can You Get?
The settlement fund is $17 million plus interest. Each settlement class member’s payment equals the number of eligible shares held at the October 2, 2023 closing multiplied by a per-share recovery: the net settlement fund divided by the total number of eligible shares.
